WAAM Policy Manual

Section A: Establishing Official Policies
1. The Board of Directors (Board) is the only body authorized to establish
WAAM policy and positions. WAAM policy, positions and goals are determined by a
majority vote of the Board. WAAM has a non-voting general membership.
2. Policy positions must be harmonious with the mission and goals of WAAM. The Board may modify and change the mission, goals and policy manual of WAAM from time to time.
3. Letters and other statements from the WAAM Board are policy and must be recorded or attached to the WAAM Policy Manual.
4. The exact words of a policy statement must be approved by the Board unless
the Board specifically authorizes a letter or statement to be prepared and
released based on the intent of the Board.
Section B: Web Site(s)
1. The purpose of the website is to provide information to the public. To
insure that 501(c)(4) nonprofit status is not jeopardized, only data authorized
by the board shall be posted.
2. The website shall contain information and links that the board deems necessary to carry forward the policy(ies) and goal(s) of WAAM. In addition, the website shall contain the Bylaws, Mission Statement, Goals, the Policy Manual and Policy Statements as directed by the Board.
3. Links to other websites shall be authorized by the Board.
Section C: Communication / Education
1. Only the President or his/her designee may release official positions or
make official statements representing WAAM policy or opinion(s).
2. Board members may not publicly express their personal opinions as WAAM positions unless it is consistent with approved WAAM policy.
3. A newsletter shall be published quarterly or as directed by the Board.
4. "Plane Talk", a newspaper feature to inform the public
on WAAM (airport) issues, shall be published bi-monthly or as directed by the Board.
Section D: Conducting Board Business
1. Meeting of the Board may be conducted in person, by telephone conference,
by internet conference or any combination thereof.
2. A quorum shall be established by the methods listed in Section D, sentence 1.
3. Minutes will be recorded at each meeting where a quorum has been established.
4. The fiscal year shall be the calendar year (January 1 - December 31 of each year)
5. Any director may initiate a request for a meeting. Only the President, or one acting for the President, can authorize a meeting in accordance with WAAM bylaws.
6. Directors must be prepared to respond to a called meeting on short notice.
Directors shall make every attempt to be in positive contact by telephone,
facsimile or email. Email is the preferred method of contact.
Section E: Political Activity
1. It is critically important to understand that WAAM is recognized by the
IRS as a 501(c)(4) nonprofit organization. WAAM is exempt from federal income
taxes but contributions are not tax deductible. WAAM may advocate or litigate
either for or against governmental position, laws and policies; however, WAAM
may not engage in overt political activity.
2. WAAM may decide to setup a separate political action committee (PAC).
Should the Board elect to form a PAC, the funds may not be intermingled with any
other funds. Contributions to a PAC are not tax deductible
Section F: Cost Reimbursements
Directors and members of WAAM may be reimbursed for specific expenditures
incurred on WAAM's behalf, provided that the following conditions are met:
a. The WAAM President must authorize a given expenditure in advance, however,
the Board may allow an expense when this condition is not met.
b. All receipts must be maintained and turned over to the Treasurer when the
reimbursement is requested.
c. Receipts should be submitted within 30 days of the expenditure, however,
circumstances may allow this time to be exceeded.
Section G: WAAM Membership
1. The Secretary will maintain a list of members' information and their
membership status in a computer file.
The membership file is confidential and
may only be released at the direction of the Board.
2. The Treasurer will maintain the amount and date that each member paid in a
computer file.
This file is confidential and may only be released at the
direction of the Board.
3. Annual membership is for the purpose of sustaining WAAM policy and goals.
4. Membership cards will be issued and will reflect the class of annual
membership. Classes of membership are as follows:

2. WAAM may setup a separate nonprofit corporation [IRS 501(c)(3)] to receive tax-deductible contributions. The date for this effort will be determined by the Board at an appropriate time.
